End-User License Agreement ("EULA")

1. Licensor

This license agreement is entered into by and between the licensee ("End-User") and Locationes ("Company").

2. License

The Locationes platform ("Service") is licensed to End-User by the Company for use solely under the terms of this EULA. The Company grants to End-User a non-exclusive, non-transferable, limited license to access and use the Service for managing Google locations. The Service may only be used for lawful purposes and in compliance with all applicable laws. All rights not expressly granted under this EULA are reserved by the Company.

3. Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, complete information and to maintain the confidentiality of your login credentials. You are responsible for all activities under your account, and the Company may terminate or suspend your account for any violation of this Agreement or misuse of the Service.

4.Payment Terms

4.1. Fees:
Access to certain features of the Service may require payment of fees, as specified on the pricing page or in your subscription plan. End-User agrees to pay all applicable fees on time, according to the selected subscription plan.

4.2 Billing:
The Company will bill you through the payment method you provide when registering for the Service or upgrading your subscription. Subscription fees are billed in advance, either monthly or annually, based on the plan selected. All fees are non-refundable except as required by law.

4.3 Late Payments:
If payment is not received by the due date, the Company reserves the right to suspend or terminate your access to the Service until payment is received. The Company may also impose a late payment fee or charge interest on any overdue amounts.

4.4 Taxes:
All fees are exclusive of any applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for paying any such taxes.

5. Use of the Service

The Service is provided for End-User’s internal business use. You agree not to rent, lease, sell, redistribute, or sublicense the Service, or modify, adapt, or create derivative works from the Service. The Service must be used only for the purposes for which it is intended, as described in the documentation provided by the Company.

6. Restrictions

End-User is prohibited from:

  • Using the Service for any illegal activity or unauthorized purpose.
  • Copying, distributing, or disclosing any part of the Service in any medium.
  • Reverse engineering, decompiling, or otherwise attempting to extract source code from the Service.

7. Intellectual Property

The Service, including its original content, features, functionality, and any updates, is and will remain the exclusive property of the Company and its licensors. This EULA does not grant End-User any ownership of the Service. You agree not to remove or obscure any proprietary notices from any part of the Service.

8. Service Updates and Changes

The Company reserves the right to update or modify the Service at any time. Updates may include new features, enhancements, or performance improvements. By continuing to use the Service after updates, you agree to be bound by any revised terms in this Agreement.

9. Termination

The Company may terminate or suspend your account immediately, without notice, if you breach any terms of this Agreement. Upon termination, your right to use the Service will immediately cease, and you must discontinue all use of the Service. Any provisions relating to intellectual property, limitations of liability, and governing law shall survive termination.

10. Disclaimer of Warranty

The Service is provided "as is" and "as available," without any warranty of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Service will be uninterrupted, error-free, or completely secure.

11.Limitation of Liability

11.1 Indirect Damages
Locationes shall not be liable to you or any third party for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of business, missed savings, or loss of data, arising out of or related to the use of or inability to use the Service, even if Locationes has been advised of the possibility of such damages.

11.2 Direct Damages
Locationes' total liability to you for all claims, whether in contract, tort (including negligence), or otherwise, shall be limited to the amount paid by you for the Service, excluding VAT, during the twelve months preceding the event giving rise to liability. Any claims for direct damages must be reported in writing to Locationes as soon as possible and no later than 30 days after the event occurs. Locationes shall not be liable for any damages resulting from death or personal injury unless caused by gross negligence or intentional misconduct.

12. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts in England.

13. Modifications to the EULA

The Company reserves the right to modify this EULA at any time. If changes are made, you will be notified via email or within the Service. Continued use of the Service after such changes constitutes your acceptance of the revised EULA.

By using the Locationes platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA.

By accessing your Locationes account (whether through a Demo account, Free trial, or Paid subscription), you acknowledge and consent to the use of cookies and tracking technologies.
